1. Who these terms are between
These terms govern use of the Sentinel platform and this website, operated by ClearLine FLS Consulting ("ClearLine", "we", "us"). They apply to the organization that holds the account and to every person who uses the platform under that account.
Where a signed written agreement exists between ClearLine and a customer, that agreement controls to the extent it conflicts with these terms.
2. Accounts and access
Accounts are created by arrangement with us. The account holder is responsible for the accuracy of the information supplied, for the people it grants access to, and for keeping credentials secure. Tell us promptly if you believe an account has been accessed without authority.
Some participants reach a single job through a link sent by email without holding an account. Anyone using such a link is bound by these terms in respect of that use. Links of this kind should be treated as confidential and forwarded only to people entitled to act on the job in question.
3. Acceptable use
Do not use the platform to break the law, to infringe anyone's rights, to attempt to reach data belonging to another organization, to probe or test the security of the platform without our written permission, or to interfere with its operation. Do not upload material you have no right to upload.
4. Your data
Data entered into the platform by or on behalf of a customer remains that customer's data. We do not sell it, and we do not disclose it to third parties except to the service providers that operate the platform on our behalf, or where the law requires it.
You grant us the licence necessary to host, process, transmit and display that data in order to provide the platform, including making it visible to the other parties on a job to the extent the platform's role based access rules allow.
5. Aggregated and anonymized data
We may create aggregated and anonymized data derived from platform activity, and may use it to operate, secure, analyse and improve the platform, and to produce statistics and benchmarks about the fire and life safety market generally.
Aggregated and anonymized data will not identify you, your organization, your counterparties, your buildings or your pricing, and will not be constructed so that any of those could reasonably be re identified from it. This right survives termination of these terms.
6. Records, compliance and professional judgment
Sentinel is a record keeping and coordination tool. It records what its users enter, and it produces documents from those records.
It does not perform inspections, testing or maintenance, does not verify that work was done correctly, does not verify the authenticity or current standing of any certificate, licence or credential stored in it, and does not determine whether any building, system or organization complies with any code, standard or regulation. Responsibility for compliance, for the accuracy of entered data, and for all professional judgments rests with the parties who hold it, and is not transferred to us by using the platform.
7. Availability and changes
The platform is under active development. Features may change, and access may be interrupted for maintenance or for reasons outside our control. We will give reasonable notice of material changes where we can.
8. Fees
Fees, billing periods and payment terms are as set out in the ordering document or written agreement covering your account. Where no fee has been agreed, access is provided at our discretion and may be withdrawn on reasonable notice.
9. Termination
Either party may terminate in accordance with the agreement covering the account, or, where there is none, on reasonable notice. On termination we will make customer data available for export for a reasonable period on request, after which it may be deleted.
10. Disclaimers and limitation of liability
Except as expressly stated in a signed agreement, the platform is provided as is, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non infringement.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the platform is limited to the fees paid or payable by the customer for the twelve months preceding the event giving rise to the claim.
11. Governing law
These terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law rules, and the state and federal courts located in Kentucky have exclusive jurisdiction over any dispute arising from them.
12. Changes to these terms
We may update these terms. Where a change is material we will give notice to account holders before it takes effect. Continued use after the effective date constitutes acceptance.
